General Terms and Conditions
1. General
1.1 These terms and conditions apply to all sales of products and services by Escalatorpartssweden AB (“the Seller”) to its customers (“the Buyer”).
1.2 By placing an order, the Buyer accepts these terms and conditions.
1.3 These terms shall take precedence over any terms or conditions of the Buyer unless otherwise agreed in writing.
1.4 The Seller reserves the right to amend these terms and conditions. The version in force is indicated by the date at the end of this document.
2. Orders and Responsibility
2.1 Sales are made to VAT-registered companies, organizations, and private individuals. Swedish companies shall provide their corporate registration number, and foreign companies shall provide a valid VAT number.
2.2 The Buyer is responsible for ensuring that all specifications, requirements, and information provided are correct, and that the ordered products comply with applicable laws, standards, and regulations.
2.3 The Seller is not liable for any damage or defect resulting from incorrect information, faulty installation by third parties, lack of maintenance, or modifications made without the Seller’s written consent.
3. Agreement and Quotation Validity
3.1 Quotations are valid for 30 days unless otherwise stated.
3.2 An agreement is deemed to have been concluded when the Buyer has accepted the quotation in writing and the Seller has confirmed the order.
3.3 The prices and conditions stated in the quotation are based on the assumption that the full quoted scope is ordered.
4. Prices
4.1 Prices refer only to the products and scope stated in the quotation and are exclusive of VAT unless otherwise specified.
4.2 Prices are based on current price lists, exchange rates, customs duties, taxes, and other cost factors valid at the time of quotation.
4.3 The Seller reserves the right to adjust prices in the event of significant changes in exchange rates, raw material costs, freight rates, or other factors beyond the Seller’s control.
4.4 Price adjustments due to changes in customs duties and taxes: If customs duties, taxes, fees, or other government-imposed charges affecting the cost change after the order date but before delivery, the Seller has the right to adjust the price accordingly.
4.5 Retroactive customs duties and charges: If customs duties, punitive tariffs, taxes, or other government-imposed charges are introduced or adjusted retroactively and this affects the cost of materials already supplied, the Seller has the right to charge the Buyer for such additional costs, even if delivery has already been completed.
5. Payment and Retention of Title
5.1 Payment is due by invoice, 30 days net unless otherwise agreed.
5.2 The Seller may require advance payment for new customers or large orders.
5.3 In the event of late payment, reminder fees, collection costs, and interest on overdue payments will be charged in accordance with the Swedish Interest Act, plus 8 percentage points.
5.4 Ownership of delivered goods remains with the Seller until full payment has been received.
6. Delivery
6.1 Delivery times stated in quotations are estimates and may vary depending on stock availability, holidays, transport conditions, or other circumstances beyond the Seller’s control.
6.2 Unless otherwise stated, delivery is made ex works (EXW) the Seller’s warehouse.
6.3 The Buyer must inspect the goods immediately upon receipt and report any transport damage within seven (7) days. Other defects must be reported within thirty (30) days.
7. Claims and Warranty
7.1 Claims must be made in writing within a reasonable time after the defect has been discovered or should have been discovered.
7.2 Warranty covers only defects in material or workmanship and does not include normal wear and tear, improper installation, inadequate maintenance, or external damage.
8. Limitation of Liability
8.1 The Seller’s liability is limited to direct damage and shall not exceed the value of the delivery causing the damage.
8.2 The Seller is not liable for indirect or consequential losses, such as production loss, loss of profit, or other consequential damages.
9. Force Majeure
9.1 The parties shall be released from liability for failure to fulfill their obligations if such failure is due to circumstances beyond their control, including but not limited to government decisions, customs regulations, war, riots, strikes, blockades, natural disasters, pandemics, or transport interruptions.
10. Governing Law and Disputes
10.1 These terms and conditions are governed by Swedish law.
10.2 Any disputes shall first be resolved through negotiation. If no agreement is reached, the dispute shall be settled by a Swedish general court.
11. Escaparts.com is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Escalatorpartssweden AB. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Escalatorpartssweden AB, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Escalatorpartssweden AB.
